A UAE trade licence is normally issued for a defined validity period and must be renewed through the authority that licensed the business. Renewal keeps the company authorised to conduct its registered activities and supports connected services such as immigration, labour, banking and commercial contracting.

There is no single renewal checklist for every UAE company. Requirements depend on the emirate, Mainland or Free Zone jurisdiction, legal form, activities, premises, external approvals, shareholder changes and outstanding compliance matters. The best approach is to begin early and verify the exact authority checklist before the licence expires.

When should renewal preparation begin?

Start reviewing the file around 30 to 60 days before expiry. This is a preparation recommendation rather than a universal statutory filing window. Companies with regulated activities, several shareholders, an expiring lease or outstanding amendments should start earlier.

Early preparation gives the company time to:

  • renew or replace its tenancy or workspace agreement;
  • obtain external regulator approvals;
  • update expired passports and identification;
  • resolve fines, inspection issues or administrative holds;
  • complete ownership or manager amendments;
  • prepare audited accounts where required; and
  • budget for licence, immigration, lease and service charges.

Who renews the trade licence?

The responsible authority is generally the authority that issued the licence:

  • a local Department of Economy or Economic Development for a Mainland licence;
  • the relevant Free Zone authority for a Free Zone company;
  • the relevant Offshore registrar for an Offshore entity; or
  • a sector regulator or additional authority where the activity requires separate approval.

The UAE Government provides links to local licensing authorities and licence verification services through its official business licence portal.

Documents commonly required

The authority's exact requirements take priority, but a renewal file commonly includes some of the following:

  • current trade licence;
  • renewal application or online account authorisation;
  • memorandum and articles of association;
  • passport, Emirates ID and visa copies for relevant shareholders, managers or signatories;
  • valid tenancy contract, Ejari or approved workspace evidence where applicable;
  • external authority approvals for regulated activities;
  • ultimate beneficial owner and shareholder information;
  • board or shareholder resolution where required;
  • audit report or financial statements for jurisdictions or activities that require them;
  • insurance certificates or professional qualifications for specified activities; and
  • payment of authority charges and outstanding administrative amounts.

Do not upload expired or inconsistent documents simply because they were accepted during the previous year. A change of passport, address, shareholder or manager should be reflected correctly across the company file.

Mainland licence renewal

Mainland companies generally renew through the economic authority of the emirate where they are licensed. The authority checks the licence record and the requirements connected to the company's legal form and activities.

A commercial premises record can be central to the process. In Dubai, for example, a valid tenancy relationship and Ejari may be relevant depending on the licence and premises. Activities involving healthcare, education, food, tourism, transport, security, legal services or other regulated sectors can require renewed approvals from the relevant bodies.

Do not assume that an approval obtained during incorporation remains valid indefinitely. Check its own expiry and renewal process.

Free Zone licence renewal

A Free Zone company renews through its own authority. The renewal can be linked to the selected facility package, desk or office agreement and the company's immigration establishment.

A Free Zone may request:

  • facility or lease renewal;
  • annual return or compliance declaration;
  • audited financial statements;
  • updated UBO information;
  • passport and contact details;
  • insurance or regulated-activity approvals; and
  • settlement of outstanding authority invoices.

Requirements differ significantly between Free Zones. A document checklist from one authority should not be reused for another without confirmation.

Does the tenancy contract need to be renewed first?

Often, yes, where the licence depends on registered premises or a facility package. The lease or workspace evidence should cover the period required by the licensing authority.

Check for mismatches in the company name, unit number, landlord details or contract dates. A tenancy document can be valid commercially but still fail an authority validation if its information does not match the licence record.

External approvals

Some activities need approval from a body other than the licensing authority. Renewal can be delayed when:

  • the external approval expires before the trade licence;
  • an inspection has not been completed;
  • a qualified manager or professional registration has expired;
  • insurance coverage does not meet the regulator's conditions;
  • the premises no longer satisfy activity requirements; or
  • the company changed operations without amending its approval.

Build external approvals into the renewal calendar rather than waiting for the licensing authority to identify the missing item.

Renewal versus amendment

Renewal extends the existing licence. It does not automatically correct old company information. If the business has changed its shareholders, manager, trade name, legal form, activities, address or capital, it may need an amendment before or together with renewal.

Attempting to renew first and update later can create inconsistent records across immigration, labour, banking, tax and licensing systems. Ask the authority to confirm the correct sequence.

What happens to visas and work permits?

A valid company licence is important for establishment and employee services. UAE Government guidance notes that a company trade licence must be valid and free of relevant violations for work-permit processing.

Licence renewal does not automatically renew:

  • establishment or immigration cards;
  • employee work permits;
  • residence permits or Emirates IDs;
  • health insurance;
  • Chamber memberships; or
  • other permits with separate expiry dates.

Maintain one compliance calendar showing every connected registration and its responsible person.

Tax and accounting checks before renewal

Licence renewal and tax compliance are separate responsibilities, but renewal is a useful time to review whether the company has:

  • completed corporate tax registration where required;
  • monitored the VAT registration threshold;
  • filed due tax returns and paid liabilities;
  • updated its legal name, address or ownership with the FTA where necessary;
  • maintained complete accounting records; and
  • arranged an audit if the authority, memorandum or business needs one.

Do not state that tax registration is universally required merely to renew every licence. The connection depends on the company and authority, while tax obligations arise under their own legislation.

How much does renewal cost?

There is no single UAE renewal price. The total may include:

  • licence renewal fee;
  • activity and legal-form charges;
  • trade name, market or local authority components;
  • lease, desk or office package;
  • immigration establishment renewal;
  • external approvals and inspections;
  • Chamber membership;
  • late penalties or outstanding balances;
  • audit, insurance and document charges; and
  • professional assistance fees.

Ask for an itemised renewal estimate. A low advertised licence fee may exclude the facility, immigration file or regulatory costs needed to keep the company operational.

Common reasons for renewal delays

  • expired or unregistered tenancy documents;
  • missing external approval;
  • outstanding fines or authority invoices;
  • expired shareholder or manager identification;
  • licence details that do not match the memorandum or UBO records;
  • uncompleted shareholder, manager or address amendments;
  • missing audit report or annual compliance filing;
  • inspection or premises non-compliance;
  • payment voucher expiring before settlement; and
  • starting the process only after the licence has expired.

What if the business will not continue?

Do not simply allow the licence to expire. If the owners have decided to stop trading, the company should follow the formal cancellation, liquidation or deregistration process appropriate to its legal form and jurisdiction.

  1. Confirm the licence expiry date and responsible authority.
  2. Review activities, shareholders, manager, address and contact information.
  3. Check the lease, Ejari or Free Zone facility expiry.
  4. List every external approval and its expiry date.
  5. Update passports, Emirates IDs and corporate documents.
  6. Confirm UBO and shareholder records are current.
  7. Resolve outstanding fines, inspection issues and authority invoices.
  8. Prepare audit, insurance or regulator documents where required.
  9. Submit the renewal and respond promptly to clarification requests.
  10. Review the payment voucher before paying.
  11. Verify the renewed licence immediately after issuance.
  12. Update banks, tax records, clients and connected registrations where needed.
